Timely OG operates the school platform "Timely" (hereinafter "Platform").
2. Scope
These Terms of Service govern the use of the Platform by educational institutions (hereinafter "Schools") as well as by their users (students, parents/guardians, teaching staff, and school administrators; hereinafter collectively "Users").
Use of the Platform is based on a separate agreement between the School and the Operator.
3. Contracting Party
The contracting party of the Operator is exclusively the respective School.
Users only receive a right to use the Platform through the School and are not direct contracting parties of the Operator.
4. Scope of Services
The Operator provides the School with a digital platform with school-related functions, in particular:
- Digital timetable (including substitutions)
- Digital class register
- Grade management
- Absence and sick note system
- Announcements and polls
- Homework management
- Chat and communication features
- Push notifications
The specific scope of features is determined by the respective agreement with the School.
The Operator is entitled to further develop, adapt, or modify individual features of the Platform, or to discontinue them, provided this is reasonable for the School.
5. Access and User Accounts
The creation and management of login credentials is carried out by the School or on behalf of the School by the Operator.
Users are obligated to:
- keep their login credentials confidential,
- not share them with third parties,
- immediately inform the School if misuse is suspected.
The Operator assumes no liability for damages resulting from misuse of login credentials, unless caused by the Operator.
6. User Obligations
Users agree in particular to:
- use the Platform exclusively for school-related purposes;
- not distribute any unlawful, offensive, or inappropriate content;
- not take any actions that impair the technical functionality of the Platform;
- respect the rights of third parties (in particular copyright and personality rights);
- only provide truthful and purpose-related data.
7. Platform Availability
The Operator strives to ensure the highest possible availability.
Uninterrupted availability is not guaranteed. In particular, limitations may occur due to:
- Maintenance work
- Technical disruptions
- Force majeure
Planned maintenance will be announced in advance where possible.
8. Liability
The Operator is only liable for damages caused by intent or gross negligence.
Liability for slight negligence is excluded to the extent permitted by law.
The Operator is in particular not liable for:
- Content provided by Users or Schools;
- its accuracy, completeness, or timeliness;
- data loss that could have been avoided through proper data backup.
Mandatory statutory liability provisions remain unaffected.
9. Data Protection
The processing of personal data is governed by the Privacy Policy of the Platform.
A data processing agreement pursuant to Art. 28 GDPR is concluded between the Operator and the School.
10. Intellectual Property
All rights to the Platform (in particular software, design, structure, and content) belong to the Operator.
Users are granted only a non-transferable, non-exclusive right of use within the scope of the intended purpose.
11. Suspension of Access
The Operator is entitled to temporarily or permanently suspend user accounts if these Terms of Service are violated or misuse occurs.
12. Contract Duration and Termination
The contractual relationship exists exclusively between the School and the Operator and is governed by the individual agreement.
After the contract ends, data is deleted or anonymized in accordance with legal requirements and the Privacy Policy.
13. Changes to Terms of Service
The Operator reserves the right to amend these Terms of Service for justified reasons.
Changes will be communicated to the School in text form. If the School does not object within four weeks, the changes are deemed accepted.
14. Applicable Law and Jurisdiction
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction is – to the extent permitted by law – the registered office of the Operator.
15. Severability Clause
Should any provision of these Terms of Service be or become invalid, the validity of the remaining provisions shall remain unaffected.
The invalid provision shall be replaced by a legally permissible regulation that most closely reflects the economic purpose.
